Terms of Service for Helpful Analytics

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or entity, "you" or "User") and Kea Marketing LLC ("Company," "we," "us," or "our"), concerning your access to and use of the Helpful Analytics software platform and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Helpful Analytics is a paid software-as-a-service (SaaS) platform that:

Connects to your Google Analytics 4 (GA4) accounts
Displays your analytics data in an easy-to-read dashboard
Provides AI-powered suggestions and insights based on your data
Allows you to export reports as PDF documents

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Security

4.1 Google Account Requirement

To use Helpful Analytics, you must have a valid Google account. The Service uses Google OAuth for authentication and requires read-only access to your Google Analytics accounts.

4.2 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach

4.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

5. Subscription Plans and Pricing

5.1 Plans

Helpful Analytics offers both monthly and annual subscription plans. Specific pricing, features, and usage limits are detailed on our pricing page at the time of your subscription.

5.2 Free Trial

New users may be eligible for a 30-day free trial for a single GA4 property. Free trials are limited to one per user and are subject to availability.

5.3 Billing

Subscriptions automatically renew at the end of each billing cycle unless canceled
You authorize us to charge your payment method on a recurring basis
Prices are subject to change with 30 days' notice
All fees are non-refundable except as provided in Section 6

6. Our 110% Satisfaction Guarantee

If you are not satisfied with Helpful Analytics for any reason, we offer a unique 110% guarantee:

You may request a refund at any time
Upon request, we will donate 110% of the amount you paid to a 501(c)3 nonprofit organization of your choice
To request a refund, contact us at https://x.com/brooksconkle with your refund request and chosen nonprofit
We reserve the right to verify the nonprofit's 501(c)3 status
This guarantee does not apply to fraudulent accounts or abuse of the Service

7. Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. By providing payment information, you agree to Stripe's terms of service and privacy policy. We do not store your complete credit card information on our servers.

8. Google Analytics Access and Data Usage

8.1 Read-Only Access

Helpful Analytics requires read-only access to your Google Analytics 4 properties. We will never modify, delete, or alter your Google Analytics data or settings.

8.2 Data Storage

We store your Google Analytics data in our secure databases to provide the Service. This data is used solely to:

Display your analytics in our dashboard
Generate AI-powered insights and suggestions
Create exportable PDF reports
Improve your individual user experience

8.3 Data Not Used for Training

Your Google Analytics data is strictly used for your individual benefit and is NOT used to train AI models or improve our Service for other users.

8.4 Scope of Access

The number of GA4 properties you can connect and other usage limits are specified in your chosen subscription plan on our pricing page.

9. AI-Powered Suggestions

9.1 Multiple AI Models

Helpful Analytics utilizes various AI models from multiple providers (including but not limited to OpenAI, Anthropic, Google, and others) to generate insights and suggestions based on your analytics data.

9.2 Nature of AI Suggestions

AI suggestions are automated recommendations based on your data
Suggestions should be considered informational and are not professional advice
We do not guarantee the accuracy, completeness, or usefulness of AI-generated content
You are solely responsible for decisions made based on AI suggestions

9.3 No Professional Advice

Nothing in the Service, including AI-generated suggestions, constitutes professional marketing, business, financial, or legal advice. Consult qualified professionals for such advice.

10. Intellectual Property Rights

10.1 Service Ownership

The Service, including its software, features, functionality, and all intellectual property rights therein, are owned by Kea Marketing LLC. These Terms do not grant you any ownership rights to the Service.

10.2 Your Data

You retain all rights to your Google Analytics data and any content you provide. By using the Service, you grant us a limited license to access, store, and process your data solely to provide the Service as described in these Terms.

10.3 Reports and Exports

PDF reports generated from your data remain your property. We claim no ownership over the content of your exported reports.

11. Acceptable Use Policy

You agree NOT to:

Violate any applicable laws or regulations
Infringe upon the rights of others
Transmit any harmful code, viruses, or malicious software
Attempt to gain unauthorized access to any part of the Service
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to spam, harass, or harm others
Share your account credentials with others
Use the Service for any fraudulent or deceptive purpose
Scrape, crawl, or collect data from the Service using automated means
Interfere with or disrupt the Service or servers
Create multiple accounts to abuse free trials or promotional offers

12. Service Availability and Modifications

12.1 No Uptime Guarantee

We provide the Service on an "as available" basis and make no guarantees regarding uptime, availability, or uninterrupted access.

12.2 Maintenance and Downtime

We may perform scheduled or emergency maintenance that temporarily interrupts the Service. We will attempt to provide notice when possible but are not required to do so.

12.3 Service Modifications

We reserve the right to:

Modify, suspend, or discontinue any aspect of the Service at any time
Update features, functionality, or user interfaces
Change technical requirements or specifications
Make such changes with or without notice

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service.

13.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period.

13.3 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, including if you:

Violate these Terms
Engage in fraudulent activity
Abuse the Service or our support team
Fail to pay fees when due

13.4 Effect of Termination

Upon termination:

Your access to the Service will cease immediately
Your data will be deleted within 30 days as described in our Privacy Policy
You remain responsible for any fees incurred before termination
Sections of these Terms that by their nature should survive termination will survive

14. Disclaimers

14.1 AS-IS Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

14.2 No Guarantee of Results

We do not warrant that:

The Service will meet your specific requirements
The Service will be uninterrupted, timely, secure, or error-free
Results obtained from using the Service will be accurate or reliable
Any errors in the Service will be corrected

14.3 Third-Party Services

The Service relies on third-party services including Google Analytics, Stripe, and various AI providers. We are not responsible for the availability, functionality, or policies of these third-party services.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEA MARKETING LLC SHALL NOT BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
ANY LOSS OF PROFITS, REVENUE, DATA, OR USE
ANY DAMAGE TO YOUR BUSINESS OR REPUTATION
ANY PERSONAL INJURY OR PROPERTY DAMAGE

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless Kea Marketing LLC, its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Your Google Analytics data or any content you provide

17. Privacy

Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our Privacy Policy.

18. Geographic Restrictions

The Service is operated from the United States and intended for users in the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, United States, without regard to its conflict of law provisions.

19.2 Venue

Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Mobile County, Alabama, and you consent to the personal jurisdiction of such courts.

19.3 Informal Resolution

Before filing a claim, you agree to contact us at https://x.com/brooksconkle to attempt to resolve any disputes informally.

20. Miscellaneous

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kea Marketing LLC regarding the Service.

20.2 Amendments

We may modify these Terms at any time by posting revised Terms on our website. Continued use of the Service after changes constitutes acceptance of the modified Terms. Material changes will be communicated via email or prominent notice.

20.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

20.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

20.5 Assignment

You may not assign or transfer these Terms or your rights hereunder. We may assign these Terms without restriction.

20.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, or interruption of third-party services.

20.7 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Kea Marketing LLC.
